Terms of Service
The legal agreement governing your use of Chat101's AI-native customer support platform.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Appuix, Inc., a Delaware corporation doing business as Chat101, with its principal place of business in Tampa, Florida ("Chat101," "we," "us," or "our").
By accessing or using Chat101's services, website, applications, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" or "your" shall refer to such entity.
2. Definitions
- "Customer Data" means any data, information, or content you upload, submit, or transmit through the Services.
- "End-User" means any individual who interacts with Customer's support channels powered by Chat101.
- "End-User Data" means any data relating to End-Users processed through the Services.
- "Tenant" means a separate organizational unit or brand within your Chat101 account with isolated data and AI models.
- "AI Models" means the machine learning models, including tenant-specific trained models, used to power the Services.
- "Subscription" means your selected service plan and its associated features, limits, and pricing.
- "Documentation" means the user guides, API documentation, and other materials we provide describing the Services.
3. Description of Services
Chat101 provides an AI-native customer support platform that includes:
- Self-learning AI chatbot with confidence scoring and escalation
- Multi-agent orchestration (routing, knowledge, transaction, escalation agents)
- Multi-tenant architecture with isolated AI models
- Knowledge base management with advanced RAG
- Real-time analytics and reporting
- Integrations with third-party services
- Embeddable chat widget
- API access for custom integrations
3.1 Service Availability
We strive to maintain 99.9% uptime for the Services. However, we do not guarantee uninterrupted access. The Services may be temporarily unavailable for scheduled maintenance (with advance notice) or unscheduled emergency maintenance.
3.2 Service Modifications
We reserve the right to modify, update, or discontinue features of the Services at any time. We will provide reasonable notice of material changes that negatively affect your use of the Services.
4. Eligibility
To use the Services, you must:
- Be at least 18 years old
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from receiving the Services under applicable laws
- Provide accurate and complete registration information
The Services are intended for business use. Consumer use is permitted but subject to these same Terms.
5. Account Registration
5.1 Account Creation
To access the Services, you must create an account by providing accurate, current, and complete information. You agree to update your information to keep it accurate.
5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Using strong passwords and enabling multi-factor authentication (recommended)
5.3 Account Types
You may designate users within your organization with different access levels (Admin, Agent, Viewer). You are responsible for the actions of all users under your account.
6. Fees and Payment
6.1 Subscription Fees
You agree to pay all fees associated with your selected Subscription plan. Current pricing is available at chat101.ai/pricing. Fees are:
- Billed in advance on a monthly or annual basis
- Non-refundable except as expressly stated in these Terms
- Exclusive of applicable taxes, which you are responsible for paying
6.2 Payment Methods
We accept major credit cards and other payment methods as indicated during checkout. By providing payment information, you authorize us to charge the applicable fees to your payment method.
6.3 Price Changes
We may change our prices with 30 days' notice. Price changes take effect at the start of your next billing cycle. If you do not agree to the new pricing, you may cancel your Subscription before the change takes effect.
6.4 Overages
If you exceed your plan's conversation limits, you will be charged overage fees as specified in your plan details, or you may upgrade to a higher tier.
6.5 Failure to Pay
If payment fails, we will notify you and provide a grace period to update your payment information. Continued failure to pay may result in suspension or termination of your account.
7. Free Trial
We offer a 14-day free trial of the Services. During the trial:
- No credit card is required to start
- You have access to all features of the Business plan
- Trial accounts are limited to 1,000 conversations
- At the end of the trial, you must subscribe to continue using the Services
- If you do not subscribe, your account and data may be deleted after 30 days
7.1 Money-Back Guarantee
Paid subscriptions include a 30-day money-back guarantee. If you are not satisfied within the first 30 days of a paid subscription, contact us for a full refund.
8. Acceptable Use Policy
8.1 Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services for legitimate customer support and business communication purposes.
8.2 Prohibited Activities
You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services to send spam, phishing, or malicious content
- Attempt to gain unauthorized access to the Services or other users' accounts
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble the Services
- Use the Services to develop a competing product
- Transmit any malware, viruses, or harmful code
- Scrape or collect data from the Services without permission
- Impersonate any person or entity
- Use the AI to generate illegal, harmful, or deceptive content
- Circumvent any usage limits or security measures
- Resell or sublicense the Services without authorization
8.3 Content Standards
Content you upload or generate through the Services must not:
- Contain hate speech, harassment, or discriminatory content
- Include sexually explicit or violent material
- Infringe on intellectual property rights
- Contain personal information without proper consent
- Violate any person's privacy or publicity rights
8.4 Enforcement
We may investigate violations and take appropriate action, including warning, suspending, or terminating accounts, and reporting illegal activities to law enforcement.
9. Your Data and Content
9.1 Ownership
You retain all ownership rights to your Customer Data and End-User Data. We do not claim ownership of your content.
9.2 License to Us
You grant us a limited, non-exclusive, royalty-free license to use, process, and store your Customer Data solely to provide the Services to you. This license terminates when you delete your data or close your account.
9.3 Data Processing
We process End-User Data on your behalf as a data processor. You are the data controller and are responsible for:
- Ensuring you have lawful basis to collect and process End-User Data
- Providing appropriate privacy notices to End-Users
- Obtaining any necessary consents
- Responding to End-User data requests
9.4 Data Export
You may export your data at any time through the dashboard or API. We provide data in standard formats (JSON, CSV) upon request.
9.5 Data Deletion
Upon account termination or your written request, we will delete your Customer Data within 30 days, except as required for legal compliance or legitimate business purposes.
10. AI and Machine Learning
10.1 Tenant AI Models
Chat101 creates isolated AI models for each tenant. Your tenant's model is trained exclusively on your data and is not shared with other customers.
10.2 Training Data
By default, conversations and agent corrections within your tenant are used to train and improve your tenant-specific AI model. You can:
- Opt out of AI training in your account settings
- Delete specific training data
- Export your training data
10.3 General Model Improvement
We may use anonymized, aggregated, and de-identified data to improve our general AI models and Services. This data cannot be used to identify you or your End-Users.
10.4 AI Limitations
You acknowledge that:
- AI responses may not always be accurate or appropriate
- You are responsible for reviewing and monitoring AI outputs
- Chat101 includes confidence scoring and escalation features to mitigate AI errors
- You should configure appropriate confidence thresholds for your use case
11. Intellectual Property
11.1 Our Intellectual Property
The Services, including all software, algorithms, AI models (excluding your tenant-specific trained models), interfaces, documentation, and branding, are owned by Appuix, Inc. and protected by intellectual property laws.
11.2 License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during your Subscription.
11.3 Restrictions
You may not:
- Copy, modify, or distribute the Services or Documentation
- Create derivative works based on the Services
- Sublicense, sell, or transfer your rights to the Services
- Remove any proprietary notices from the Services
11.4 Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use the Feedback to improve our products and services.
12. Confidentiality
"Confidential Information" means any non-public information disclosed by either party, including business plans, technical data, pricing, and customer information.
12.1 Obligations
Each party agrees to:
- Protect Confidential Information using reasonable security measures
- Use Confidential Information only for purposes of this agreement
- Not disclose Confidential Information to third parties without consent
12.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available through no fault of the receiving party
- Was rightfully known before disclosure
- Is independently developed without using Confidential Information
- Is required to be disclosed by law
13. Warranties and Disclaimers
13.1 Our Warranties
We warrant that:
- We have the right to provide the Services
- The Services will perform materially as described in the Documentation
- We will use commercially reasonable efforts to maintain service availability
- We maintain appropriate security measures to protect your data
13.2 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
WE DO NOT WARRANT THAT:
- The Services will be uninterrupted, error-free, or secure
- AI responses will be accurate, complete, or appropriate for any purpose
- The Services will meet your specific requirements
- Any defects will be corrected
14. Limitation of Liability
14.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAT101'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CHAT101 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14.2 Exclusion of Damages
IN NO EVENT SHALL CHAT101 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF CHAT101 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.3 Exceptions
The limitations in this section do not apply to:
- Breaches of confidentiality obligations
- Your indemnification obligations
- Violations of intellectual property rights
- Gross negligence or willful misconduct
- Liability that cannot be limited by applicable law
15. Indemnification
15.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Chat101 and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your Customer Data or End-User Data
- Your violation of these Terms
- Your violation of any third-party rights
- Any claims by your End-Users
15.2 Our Indemnification
We will indemnify you against claims that the Services infringe a third party's intellectual property rights, provided you promptly notify us and allow us to control the defense.
16. Termination
16.1 Termination by You
You may terminate your Subscription at any time through your account settings or by contacting support. Termination takes effect at the end of your current billing period.
16.2 Termination by Us
We may terminate or suspend your account:
- For Cause: Immediately if you breach these Terms
- For Non-Payment: After 30 days' notice and failure to cure
- For Convenience: With 90 days' notice and pro-rata refund
16.3 Effect of Termination
Upon termination:
- Your access to the Services will be disabled
- You may request export of your data within 30 days
- We will delete your data after 30 days (unless legally required to retain)
- Provisions that should survive termination will remain in effect
16.4 No Refunds
Except for our money-back guarantee or termination by us for convenience, fees are non-refundable upon termination.
17. Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
17.2 Informal Resolution
Before filing any legal action, you agree to contact us at legal@appuix.xyz and attempt to resolve the dispute informally for at least 30 days.
17.3 Arbitration
Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Tampa, Florida, or remotely as mutually agreed.
17.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
17.5 Exceptions
Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
17.6 Jurisdiction
For any matters not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Hillsborough County, Florida.
18. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Sending an email to the address associated with your account
- Displaying a notice in the Chat101 dashboard
Changes take effect 30 days after posting (or longer if specified). Continued use of the Services after changes take effect constitutes acceptance of the new Terms.
If you do not agree to the changes, you may terminate your account before they take effect.
19. General Provisions
19.1 Entire Agreement
These Terms, along with the Privacy Policy and any applicable Order Forms or DPAs, constitute the entire agreement between you and Chat101 regarding the Services.
19.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
19.3 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
19.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
19.5 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, acts of government, labor disputes, or infrastructure failures.
19.6 Notices
Notices to Chat101 should be sent to legal@appuix.xyz. We will send notices to the email address associated with your account.
19.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except that our affiliates and service providers may enforce applicable provisions.
19.8 Export Compliance
You agree to comply with all applicable export control laws and regulations. You will not use the Services in any country subject to U.S. sanctions.
19.9 Government Use
If you are a U.S. government entity, the Services are provided as "Commercial Items" as defined in 48 C.F.R. § 2.101.
